SNS Reseller Extranet Terms and Conditions of Use

Our Contract With You Regarding This Site

When you register for this web site (“Site”), you are entering into a legally binding contract between you, as a user of this Site, and Studio Network Solutions, LLC (“SNS”) which obligates you to comply with the following Terms and Conditions of Use (“Terms”). If you are not willing to agree to these Terms, do not use this Site and do not complete your registration. This Site is intended solely for the use of SNS’s authorized resellers. You must be party to an active SNS Reseller Agreement in order to access this Site, and such SNS Reseller Agreement is expressly incorporated into these Terms by reference herein. If you continue to access the Site, you will be deemed to have acknowledged that you have read, understood and agreed to be bound by the terms of this agreement and to comply with all applicable laws and regulations.

SNS may revise these Terms at any time by posting new Terms to this Site. If these Terms are revised, you will be sent an e-mail notifying you of the change. If you continue to access the Site thereafter, you will be bound by any such revisions. Any breach of these Terms shall also constitute a breach of your SNS Reseller Agreement and may result in the termination thereof.

Use of SNS Images and Information Available from this Site

SNS may make various images, logos, text, and information (“Site Content”) available to you through this Site for use solely by you in your capacity as an SNS authorized reseller. Accordingly, SNS grants to you a non-exclusive, royalty-free, limited license to copy and use the Site Content for the sole purpose of performing your obligations under your SNS Reseller Agreement. Such license shall continue for so long as you have an active SNS Reseller Agreement and shall automatically and immediately terminate upon the expiration or termination of your SNS Reseller Agreement. Your use of the Site Content shall conform with SNS’s policies in effect and communicated to you from time to time, including, but not limited to, in these Terms, which SNS may revise at any time. You may not make any use of the Site Content except as expressly provided herein.

From time to time, the Site Content may include confidential information relevant to your role as an SNS authorized reseller (“Confidential Information”). Any Confidential Information will be identified on the Site. You may not disclose any Confidential Information disclosed to you via the Site except as permitted by your SNS Reseller Agreement.

Governing Law and Limits of Use

This Site is operated by SNS from its offices within the United States. SNS makes no representation that materials in the Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is strictly prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

These Terms, as well as any claim relating to this Site or the materials contained in this Site, are governed by the laws of the State of Missouri, without giving effect to the conflict of law principles of that state. By registering and using this Site, you are giving your irrevocable consent to the exclusive jurisdiction and venue of the Circuit Court of St. Louis County, Missouri or the United States District Court for the Eastern District of Missouri in St. Louis City, Missouri in all disputes arising out of or relating to these Terms or the Site.

General Provisions

If any provision of these Terms shall be declared by a court to be invalid, illegal, or unenforceable, such provision shall be deemed severable from these Terms and the other provisions shall remain in full force and effect. The failure of SNS to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
